Any reference to Steer in these Terms refers to InSteer, Inc and its associated products and services.

  1. Who May Use the Services

Steer is a privately operated networking and AI-driven communication tool, and access is granted at our sole discretion. To use Steer, you must:

  • Be at least 13 years old (or the minimum age of digital consent in your jurisdiction).
  • Have legal capacity to enter into a binding contract.
  • Not be prohibited from receiving services under applicable laws.
  • Use Steer in good faith, without attempting to manipulate, disrupt, or abuse the platform.

We reserve the right to restrict, suspend, or terminate access to any user for misuse, fraudulent activity, non-compliance with our Terms, or any reason we deem harmful to our business or community.

  1. Using the Services & AI-Generated Content Responsibility

Users must comply with all applicable laws and may not:

  • Use AI-generated messages for spam, harassment, impersonation, or deceptive communication.
  • Automate or mass-send messages in violation of third-party platform policies.
  • Scrape, reverse-engineer, or manipulate Steer’s systems.
  • Share or misuse AI-generated content in ways that violate privacy, intellectual property, or laws.

Steer does not guarantee availability of its services and may modify, suspend, or terminate access at any time.

  1. AI-Generated Content and Responsibility
  • AI-generated messages are suggestions only, and you are fully responsible for reviewing and modifying them before use.
  • Steer does not verify the accuracy, appropriateness, or effectiveness of AI-generated content.
  • We disclaim all liability for any miscommunication, reputational harm, third-party disputes, or legal consequences arising from AI-generated messages.
  1. Disclaimers and Limitations of Liability
  • Steer is provided “AS IS” and “AS AVAILABLE” with no warranties regarding the accuracy or effectiveness of AI-generated content.
  • We are not liable for any professional, legal, or reputational consequences of using Steer’s services.
  • We do not guarantee compatibility with third-party platforms (e.g., messaging or email providers) and are not responsible for enforcement actions they may take.
  • We are not liable for any indirect, incidental, or consequential damages, including lost business opportunities, reputational harm, or financial losses.
  • Your use of Steer is at your own risk.
  1. General
  • Updates & Modifications: We may update these Terms at any time at our sole discretion, and continued use of Steer constitutes acceptance of changes.
  • Governing Law & Disputes: These Terms are governed by Ontario, Canada law, and disputes must be resolved in Ontario courts.
  • Enforceability: If any provision is found unenforceable, the rest of the Terms remain in full effect.
  • Our Right to Enforce: We reserve the sole discretion to enforce these Terms, including restricting, suspending, or terminating access.

1.1 Legal Entity

  • The company operating under these Terms is InSteer, Inc (the “Company”), a duly incorporated entity in Ontario, Canada.

1.2 Business Purpose

  • InSteer, Inc is dedicated to the conception, development, and commercialization of Steer, a professional networking and AI-assisted messaging platform designed to help users manage and enhance their social and professional relationships. The Company is actively working toward a market launch before the end of 2025.

1.3 References to “Steer”

  • For the purposes of these Terms and all related policies, any reference to “Steer” shall be understood to refer to InSteer, Inc and its associated services, products, and intellectual property.

1.3 “Steer” Rights or Claims

  • Use of Steer does not create any rights or claims over the platform, its content, or any proprietary elements. Users acknowledge that they have no ownership rights to any part of the Steer platform, including AI-generated content, algorithms, branding, or user data.

These Terms constitute a legally binding agreement between you and InSteer, Inc regarding your use of Steer’s services.

  1. Who May Use the Services

Steer is a professional networking and AI-assisted message generation platform designed to enhance your networking efforts. Access to our Services is a privilege, not a right, and we reserve sole discretion in determining who may use Steer.

To use Steer, you must meet the following requirements:

  • Minimum Age: You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction).
  • Legal Capacity: You must have the legal capacity to enter into a binding contract under the laws of your jurisdiction.

4.1 Acceptable Use Policy

You must not use Steer for any of the following:

  • Spam, Harassment, or Deceptive Communication: You may not use AI-generated messages to send unsolicited mass messages, misrepresent yourself, deceive recipients, or engage in harassment.
  • Automated or Mass Messaging Violations: You may not automate, mass-send, or otherwise distribute Steer-generated content in ways that violate the terms of third-party messaging, email, or social media platforms.
  • Scraping, Reverse Engineering, or System Disruption: You may not attempt to scrape, copy, modify, decompile, reverse engineer, disrupt, or exploit Steer’s platform, algorithms, or AI models.
  • Unauthorized Sharing of AI-Generated Content: You may not share or distribute AI-generated messages or content in a manner that infringes on privacy, intellectual property rights, or any applicable laws.
  • Impersonation or Fraudulent Use: You may not use Steer to impersonate individuals, businesses, or organizations, or for any deceptive purpose.
  • Commercial Resale or Misuse: You may not resell, sublicense, or otherwise commercially exploit Steer’s Services without express written permission.
  • Use of Steer: Users may not use Steer to develop, train, or enhance competing AI, networking, or messaging services. Any violation may result in immediate termination and legal action.

4.2 Service Availability and Termination

  • Steer reserves the right to modify, suspend, or discontinue any part of the platform at any time without prior notice. We are not liable for any disruptions or loss of access.
  • We may restrict or terminate access at our sole discretion if we believe you have violated these Terms, engaged in misuse, or posed a risk to our business, users, or technology.
  • We are not responsible for third-party platform restrictions that may impact the use of AI-generated content from Steer (e.g., messaging platform bans).

Steer provides AI-generated messages as suggestions only to assist in professional networking.

  • User Responsibility: You are solely responsible for reviewing, modifying, and ensuring compliance with all relevant laws, platform policies, and ethical guidelines before using or sending any AI-generated content.
  • No Guarantee of Accuracy or Effectiveness: Steer does not verify the accuracy, appropriateness, effectiveness, or legal compliance of AI-generated content. Our AI does not provide legal, financial, or professional advice.
  • No Liability for AI-Generated Content: Any messages or communications you create, send, or share using Steer’s drafts are your sole responsibility. We disclaim all liability for any direct, indirect, reputational, or legal consequences arising from AI-generated content.

By using Steer, you acknowledge and agree that:

  • Steer is a tool, not a substitute for professional judgment. The platform provides AI-generated content based on patterns and user input, but it is your responsibility to ensure that messages align with your intentions and professional objectives.
  • We are not liable for professional, legal, or reputational consequences resulting from the use of Steer’s services, including any unintended outcomes, miscommunications, or third-party reactions to AI-generated content.
  • We are not responsible for third-party platform policies or enforcement actions. If a messaging service, email provider, or other platform restricts or penalizes your use of AI-generated messages, that is outside of our control.
  • We will not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to lost opportunities, business disruptions, reputational harm, or financial losses arising from your use of Steer.
  • Your use of Steer is at your own risk. You assume full responsibility for how AI-generated content is used and interpreted by others.
  • Lawsuit Rights: To the fullest extent permitted by law, users waive any right to file class-action lawsuits, collective claims, or seek damages beyond direct use of Steer. Any legal dispute must be resolved on an individual basis in Ontario courts.

7.1 Updates and Modifications

  • We continuously improve Steer to provide the best possible experience for our users. As a result, we reserve the right to update, modify, or change these Terms at any time at our sole discretion. If material changes are made, we will notify users through appropriate channels. Your continued use of Steer after updates constitutes acceptance of the revised Terms.
  • Steer reserves the right to introduce, modify, or remove paid features, subscription models, and pricing at any time. Continued use of premium services constitutes acceptance of new pricing and payment terms.

7.2 Governing Law and Dispute Resolution

  • These Terms, and any disputes related to them or your use of Steer, shall be governed by the laws of Ontario, Canada, without regard to conflicts of law principles. Any disputes or claims shall be resolved exclusively in the courts of Ontario, Canada, and you irrevocably consent to the jurisdiction of these courts.

7.3 Enforceability and Severability

  • If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or removed to the minimum extent necessary, while the remaining Terms continue to be in full force and effect.
